Terms and Conditions - Ixkio Tag Management Application

These Terms and Conditions ("Terms") govern access to and use of the Ixkio Tag Management Application (the "Web App"). By creating an Account or purchasing a Subscription, you agree to be bound by these Terms.

If you do not agree, you must not use the Web App.

1. Definitions

Account - a registered account required to access the Web App.

Subscription - a paid plan granting access to the Web App.

User - any authorised user of an Account.

User Content - data, links, identifiers, and materials uploaded by Users.

Content - all software, code, databases, text, images and materials within the Web App.

Contract - the contract formed on Subscription Confirmation.

2. Business Use

The Web App is primarily intended for business use. By creating an Account, you confirm you are acting in the course of a business, trade, craft or profession unless expressly agreed otherwise.

3. Access and Service Changes

Access requires a valid Subscription.

We may modify, update, improve or change the Web App at any time. Material adverse changes will be notified at least 90 days in advance where reasonably practicable.

We may suspend availability for maintenance or security reasons. Planned maintenance will be notified where reasonably possible.

4. Accounts

You must:

  • be at least 18 years old;
  • provide accurate information;
  • keep credentials secure; and
  • not share Accounts without permission.

We may suspend Accounts suspected of compromise or misuse.

Account closure requests must be sent to mail@ixkio.com.

5. Geographic Eligibility and Country Restrictions

Accounts may only be registered and accessed from the following countries: United Kingdom, European Union member states, United States, Canada, Australia, and New Zealand, unless we have given prior written permission for access from another jurisdiction.

These geographic restrictions apply to registration for Accounts and access to the Web App only. They do not restrict where physical NFC tags, QR codes, or identifiers managed using the Web App may be deployed, scanned, or used in the real world.

We may grant or refuse permission for access from other jurisdictions at our discretion. Any such permission must be given in writing and may be subject to additional conditions. Permission may be withdrawn at any time where required for legal, regulatory, security, commercial, or risk management reasons.

By creating an Account, you confirm that:

  • you are located in an eligible country or have received our written permission;
  • you are not located in a country subject to UK sanctions or trade restrictions;
  • you are not subject to any sanctions designation or prohibited party list;
  • your use of the Web App does not violate any applicable export control or sanctions laws; and
  • the information you provide about your location is accurate.

We may use geolocation data, payment information, and other reasonable verification methods to determine eligibility.

We may block access, suspend Accounts, or terminate Subscriptions without refund where we reasonably believe a user is accessing the Web App from a restricted jurisdiction without permission or in breach of this clause.

6. Subscriptions and Pricing

Subscriptions are billed in advance.

Prices may change for renewals with notice.

VAT is charged where applicable.

A Contract between you and us is formed when you create an Account or, where applicable, when we issue a Subscription Confirmation email, whichever occurs first. Trial accounts and free access periods are subject to these Terms in full.

7. Trial Access

We may offer free or trial access to the Web App. Trial access is provided "as is" and may be limited in features or duration. We may modify or terminate trial access at any time without notice. All trial use is subject to these Terms and Conditions.

8. Payment

Payment is due at purchase.

We may use third-party processors.

Failure to pay may result in suspension.

9. Cancellation

Auto-renewing Subscriptions may be cancelled before renewal.

Non-renewing Subscriptions are non-refundable except where legally required.

If service is unavailable for more than 48 continuous hours (excluding maintenance and force majeure), you may cancel for a pro-rata refund.

10. Intellectual Property

All Web App software, code, databases and systems are our intellectual property.

We grant a limited, non-transferable, revocable licence to use the Web App during your Subscription.

You must not:

  • copy the system;
  • reverse engineer;
  • decompile;
  • extract source code; or
  • create derivative works,

except where such restriction is prohibited by law.

Users retain ownership of User Content but grant us a licence to use it to operate the service.

11. Acceptable Use

You must use the Web App lawfully and must not:

  • upload malware;
  • conduct fraud;
  • infringe rights;
  • transmit unlawful content; or
  • harass or harm others.

12. Strict Prohibition - Security Testing & System Interference

You must not, and must not attempt to, nor permit any third party to perform any technical or security testing of any kind without our prior written consent.

This includes (without limitation):

  • vulnerability scanning;
  • penetration testing;
  • probing or fuzzing;
  • exploit testing;
  • reverse engineering analysis;
  • automated security scanning;
  • stress or load testing;
  • performance benchmarking;
  • traffic flooding;
  • denial-of-service simulation;
  • architecture mapping;
  • rate-limit testing; and
  • authentication bypass testing.

Consent may be withheld at our sole discretion and may require a separate agreement. Unauthorised testing constitutes a material breach.

13. Unauthorised Access and Criminal Activity

You must not attempt to gain unauthorised access to any system, server, database, or account.

Such actions may constitute offences under the Computer Misuse Act 1990. We may report incidents to law enforcement.

14. Security Reporting (Observation Only)

If you believe you have discovered a vulnerability, you may report it to mail@ixkio.com.

You must not test, validate, exploit, or demonstrate the issue.

Reports must be based on observation only.

15. Suspension Rights

We may immediately suspend access if:

  • a security risk is suspected;
  • misuse occurs;
  • testing is detected;
  • payment fails; or
  • law requires suspension.

Suspension may occur without notice.

Any breach of the security testing prohibition or geographic eligibility clause is deemed a material breach.

16. User Content Rules

User Content must not be unlawful, infringing, defamatory, hateful, deceptive, or privacy-violating.

We may remove content at our discretion.

You indemnify us for losses caused by unlawful User Content.

17. Third-Party Links

We are not responsible for third-party sites or services linked from the Web App.

18. Data Protection

Personal data is processed in accordance with:

  • the UK GDPR;
  • the Data Protection Act 2018; and
  • our Privacy Policy.

19. Service Standard (Consumers Only Where Applicable)

Where you are a consumer, digital content will be supplied with reasonable care and skill under the Consumer Rights Act 2015.

20. Disclaimers

The Web App is provided "as is".

We do not guarantee:

  • uninterrupted operation;
  • error-free performance;
  • compatibility with all systems; or
  • fitness for a particular purpose.

21. Liability

Nothing excludes liability for:

  • death or injury from negligence;
  • fraud; or
  • statutory rights.

Business Users

We are not liable for:

  • loss of profits;
  • business interruption;
  • data loss; or
  • indirect or consequential loss.

Liability cap: Our total aggregate liability shall not exceed the Subscription fees paid in the 12 months preceding the claim.

22. Indemnity for Prohibited Testing and Geographic Breach

You agree to indemnify and reimburse us for all reasonably incurred losses, costs, expenses, and liabilities arising from or related to your breach of:

  • the prohibition on security testing, penetration testing, scanning, or system interference;
  • the geographic eligibility and country restriction clause; or
  • your sanctions and export control representations.

Recoverable costs may include, without limitation: investigation costs, incident response costs, system remediation, recovery expenses, additional security measures, third-party claims, regulatory enquiries, and reasonable legal fees.

This clause does not limit any other rights or remedies available to us.

23. Force Majeure

We are not liable for failure caused by events beyond reasonable control.

24. Assignment

We may assign the Contract. You may not assign without consent.

25. Severability

Invalid provisions are severed without affecting the rest.

26. Waiver

Delay in enforcement is not waiver.

27. Changes to Terms

Terms may be updated. Continued use constitutes acceptance.

Material changes will be notified.

28. Governing Law

These Terms are governed by the laws of England & Wales.

Business disputes - exclusive jurisdiction of English courts.

Consumer disputes - jurisdiction based on residence.
